1. The terms & conditions mentioned here apply to users of plugHR, plugHRNetwork and/ or Plug HR Services Pvt Ltd both online and offline. These also apply to visitors to the site to the extent applicable.
2. It is assumed that visitor to the site would act for its own self while providing information to plugHR. Providing third party information on site by the visitor would be considered fraudulent act and plugHR would in such a case be considered a victim thus indemnified of the outcome.
3. plugHR provides subscription based products and services to organizations that approach it and subsequently execute their order by signing on the prescribed subscription document.
4. plugHR subscriptions cover variety of options like ph8 platform license, execution bandwidth options and support & review subscriptions. Clients can subscribe to any or more of them by mentioning them on the subscription document.
5. ph8 platform is a knowledge model that recommends a comprehensive approach to HR delivery around following aspects
- a) Organization structuring
- b) Recruitment process & On boarding*
- c) Induction & Orientation
- d) Compensation planning
- e) HR Policy design
- f) Training & Development management
- g) Employee engagement
- h) Performance management system
6. ph8 platform is developed keeping in mind the generic needs of organizations at large and may require last mile customization to get desired results. Please note that plugHR does not guarantee any results upon following ph8, lot may depend of execution ability, peculiarity of situation or quality of response from other stakeholders.
7. Updation of ph8 is done on regular basis by a team of product managers through research, client exposure and feedback. Any such update is intimated to subscribers.
8. TopSeed is the support & review subscription service offered by plugHR that provides good handholding and monitoring of delivery on ph8 platform. Support is provided as response to email or phone call by onsite resource and review is performed physically onsite by plugHR resource once a month all along the subscription period.
9. Execution bandwidth from plugHR can be engaged by signing for subscriptions like phrOne and Half-n-Half.
10. Client obligation: plugHR resource should be provided with basic infrastructure like laptop, internet access, phone & workplace within 5 days of joining. Operational expenses like traveling allowance & reimbursements would need to be paid just like an internal manager.
11. Insurance & Indemnity: plugHR resource would be performing on best intention basis & would be suggesting/ taking decisions as authorized with best of professional capability. plugHR and all its resources would be operating under indemnity by Client for the outcome of decisions taken by them or taken under their guidance by any other manager. Any suggestion from plugHR is non binding and subject to client judgment. plugHR does not promote blind following.
All clients’ assets handled by plugHR resources have to be appropriately secured and Insured against risks by the client.
12. Fairness: Client would need to extend fair & equal treatment to plugHR resource operating on site. Resource would be covered by same workplace norms as client’s own employees. This would include work conditions, canteen, shared transport & other common service/benefits. Client would take all measures to ensure resource’s safety from violence, fire, harmful chemicals, undue professional exploitation, sexual harassment, racist abuse or any other form of discrimination while at client’s office. Client would ensure that resource is protected from any form of aggression, verbal or behavioral at workplace. Any displeasure with resource needs to be communicated via proper channel to Head Operations.
13. Referability: Client would allow plugHR to use its name, logo and credentials to be displayed as its client on various marketing collaterals including plugHR website. Client would also display plugHR referral button on its own website.
14. Non Solicit: Client would be restricted from making any kind of employment offer whether of full time or part time or consulting nature to any resource of plugHR associated with Client assignment. This restriction would apply during & up to one year from the date of this service agreement expiry. Breach of this clause would be considered as loss of good faith that forms the basis of this agreement and plugHR would be entitled to claim from client a compensation equal to five times of annual subscription value of this contract.
15. Intellectual property rights: plugHR would retain all ownership rights on its creation, recreation & deployment across all elements like design, templates, knowledge, processes and would remain eligible to use that anywhere for any purpose whatsoever. Client would be a licensed user of services and its claim would be limited to the information that is proprietary to it. plugHR would retain the right to use the data/ information after duly securing confidentiality for academic, research, product development and commercialization purposes.
16. Non-disclosure & Confidentiality: plugHR would keep all client information protected and would not disclose information without authorization & context. Client is expected to classify information at source in case of sensitive data.
17. Undertaking: plugHR would ensure usage of proprietary material only after prior approvals. All communication with internal & external people would be in line with the corporate guidelines detailed during induction. Resource would adhere to all norms related to security of data & would cooperate in any audit intervention by authorized personnel.
18. What we don’t do: Following areas that though close to people management but we do not cover under our service
- a. Payroll processing (Unless Automated / Outsourced)
- b. General Administration
- c. Processing bills or reimbursements
- d. Secretarial support
- e. Any other area not defined under details of service above
In case there is a task that client wants plugHR to manage which is not specified in the contract, client can raise it to the Head Operations & call can be taken on it.
19. Risk Exposure: By signing this contract, Client is exposed to a risk equivalent to the service fee for the products consumed duration and exit notice period at any point of time. However client will be liable to pay for annual license fee for PowerPlug (pH8 License) even in case of premature exit. Please note that this is a time billing contract and Client’s liability to pay arises out of duration of service and not task performance. For PowerPlug, client’s liability to pay the entire license fee, arises upon account activation. At no point would Client’s financial exposure be more than the service fee mentioned in the contract.
20. Exit Clause: The relationship would have the provision of exit through a written notice by the authorized signatory giving a
notice period of clear two months.
21. Conflict: Any dispute arising out of this relationship would be settled under the legal jurisdiction of Mumbai city.
